Ozaeta, Herminio S., Jr.

Herminio S. Ozaeta Jr. (Senior Partner), is a member of the Executive Board and head of Romulo’s Technology, Media & Telecommunications practice.

 

Mio specializes in providing business-focused, strategic, and creative legal advice related to commercializing and deploying innovative technologies and business models in the Philippine market. His team has extensive experience in navigating clients through regulatory, licensing, and other legal challenges inherent to pioneering companies and industry leaders seeking to do business in an emerging market. They are adept at providing practical legal solutions to address the client’s business requirements while fully complying with existing regulatory constraints.

 

Mio and his team regularly work and liaise with industry regulators, which allow them to anticipate and advise clients on the latest market developments, regulatory changes, legislative actions, and commercial and technical issues. His current and former clients include software companies; online retailers; gaming and digital media companies; broadcasters; wireless satellite and cable operators; network, mobile, and integrated operators; and publishers and advertisers.

 

Prior to founding the Technology, Media & Telecommunications practice, Mio was a member of the Securities team where he advised clients on various corporate transactions, including reorganization and restructuring, mergers and acquisitions, issuances of all types of securities, and the formation of joint ventures.

 

Mio is an adjunct professor at the Ateneo de Manila School of Law where he lectures on International Securities law, Public Offerings, and Stock Exchange listings. He was formerly a foreign associate at Shearman & Sterling (New York), advising clients on a broad range of cross-border transactions including mergers and acquisitions, debt and equity offerings, and corporate restructurings.

 

Mio received his bachelor’s degree in Management Honors from the Ateneo de Manila University in 1986 and his bachelor of law degree, silver medal, from the same university in 1990. He then received his LL.M in corporate law from the New York University School of Law in 1995. He was admitted to the Philippine Bar in 1991 and the New York State Bar in 1996. He joined the firm in 1991.

Ogsimer, Louie T.

Louie T. Ogsimer (Senior Partner), is a member of the Executive Board who Co-Chairs the Dispute Resolution Department and heads the firm’s arbitration practice. 

 

Louie has handled ad hoc arbitrations under the UNCITRAL Arbitration Rules, and institutional arbitrations administered by the International Chamber of Commerce (ICC), Hong Kong International Arbitration Centre (HKIAC), Singapore International Arbitration Centre (SIAC), Australian Centre for International Commercial Arbitration (ACICA), International Centre for Settlement of Investment Disputes (ICSID), Permanent Court of Arbitration (PCA), Philippine Dispute Resolution Centre Inc. (PDRCI), and the Construction Industry Arbitration Commission of the Philippines (CIAC), among others. 

 

Louie’s litigation experience includes appearing and orally arguing before the Philippine Supreme Court, Court of Appeals, Court of Tax Appeals, Constitutional Commissions, Sandiganbayan, and trial courts all over the Philippines. He has also appeared before various quasi-judicial agencies under the Executive Department and in inquiries in aid of legislation before the Philippine Congress. He has handled high-impact cases before the Supreme Court in the areas of alternative dispute resolution, constitutional law, commercial disputes, government regulation, securities trading, and environmental law. 

 

He is a passionate advocate of alternative dispute resolution and has settled more than eighty percent of his cases to the satisfaction of the firm’s clients. The arbitration and litigation cases he has won or settled in favor of the firm’s clients cut across various matters like banking, construction, concession and distribution agreements, energy and power, estate settlement, project finance, government regulation, public and private infrastructure, insolvency and rehabilitation, insurance, joint ventures, mergers & acquisitions, mining, oil and gas, public utilities, real property, securities trading, shareholders’ agreements, telecommunications, and white-collar crimes.

 

Louie was a member of the National Competitiveness Council Working Group on the Judicial System under the Office of the President, which formulated policies and proposals to improve the Philippine judicial system. He has been consistently cited by various local and international publications for his arbitration and litigation practice. He is a court member of the ICC Court of Arbitration and a member of the SIAC Panel of Arbitrators. He is a faculty member of the Ateneo de Manila School of Law teaching International Commercial Arbitration and Private International Law.

 

Louie received his bachelor’s degree in Business Economics from the University of the Philippines in 1993 and his bachelor of laws from the same university in 1997. He was admitted to the Philippine bar in 1998 and joined the firm in 1999.

Nazareno, Jomini C.

Jomini C. Nazareno is a partner who is working with the Litigation & Arbitration, and Labor & Immigration departments. His practice focuses on arbitration, litigation, and labor.

 

Jom deals with various aspects of litigation, alternative dispute resolution, and commercial projects. He handles civil, criminal, labor, corporate, and tax cases before all levels of the judiciary, including the Court of Tax Appeals, Court of Appeals, and Supreme Court. He likewise appears before administrative and quasi-judicial bodies such as the Securities and Exchange Commission, Food and Drugs Administration, and National Labor Relations Commission.

 

Jom also participates in a broad range of special projects including oil, gas, and mineral exploration, power generation, mining, and telecommunications.

 

Jom has been involved in domestic and international arbitrations, both institutional and ad hoc. In particular, he has handled disputes under the rules of the International Chamber of Commerce, Philippine Dispute Resolution Center Inc., and Construction Industry Arbitration Commission.

 

Jom received his bachelor’s degree in Political Science from the Ateneo de Manila University in 2000. He thereafter received his juris doctor degree, second honors, from the same university in 2005. He was admitted to the Philippine bar in 2006, where he placed 2nd, and joined the firm also in 2006.

Agustin R. Montilla, IV (Senior Partner), is a member of the Executive Board and a member of the Securities department. His practice focuses on securities, and corporate law.

 

Agustin helps solve problems for domestic and foreign clients and corporations. His experience is built on international securities offerings, restructuring, takeovers, take-privates, and cross-border acquisitions. He also serves as an advisor to various charitable and non-profit organizations devoted to education and the care of those affected by cancer.

 

Agustin was involved in the groundbreaking Pilipino Telephone Corporation debt restructuring, which remains to be the largest in the Philippines to have ever been successfully concluded on a consensual basis. He has represented the then NASDAQ-listed eTelecare Global Solutions, Inc. in an unprecedented auction requiring concurrent tender offers in the Philippines and the United States which necessitated compliance with incongruent laws and regulations.

Mendoza, Enriquito J.

Enriquito J. Mendoza (Senior Partner), is a member of the Executive Board who chairs the Labor & Immigration department and is affiliated with the Litigation & Arbitration department. His practice focuses on labor, litigation, and corporate law.

 

Quito leads the Labor department in assisting employer-clients in collective bargaining negotiations and disputes before labor agencies and courts of law. He gives comprehensive advice on workers and employer rights, including the ramifications to such rights as a result of mergers, consolidations, acquisitions, and other modes of corporate restructuring. His advice covers the effects on security of tenure and possible claims over statutory and contractual benefits resulting from such restructuring.

 

Quito counsels clients in strike situations on the best ways of resolving labor disputes by way of practical solutions as well as through conciliation, mediation, arbitration, and other extrajudicial processes encouraged by the Labor Code. He also handles labor litigation before the Court of Appeals and Supreme Court.

 

Quito, with his 40 years of labor law experience, has consistently been cited as a Band 1 labor and employment counsel by reputable law reviews, most recently by the 2013 edition of Chambers and Partners.

Daniel V. Mendoza is a partner whose practice currently focuses on taxation, intellectual property, labor, general corporate, and banking and finance.

 

Dane advises domestic and foreign clients on matters involving taxation, intellectual property rights, labor and employment, corporation laws and regulations, and mergers and acquisitions. Lopez-Rosario, Maria Liza A.

Maria Liza Arcadio Lopez-Rosario is a partner who is working with the Corporate, and Litigation & Arbitration  departments. Her practice focuses on corporate law, litigation, labor, and family law.

 

Liza has served the Roman Catholic Church for 15 years, assisting the Archdiocese of Manila, Archdiocese of Lingayen-Dagupan, Diocese of Pasig, Diocese of Parañaque, and Catholic Bishops’ Conference of the Philippines. Her practice is extraordinary because of the need to harmonize civil law with the canon law of the Roman Catholic Church.

 

Liza has received multiple awards, including the UST AB GANTIMPALA, Gawad Alab award in 2010 and the UST Law Alumni Foundation citation for her distinguished career in private law practice and service as chair of the Alumni’s Scholarship Committee in 2007.

 

Liza received her bachelor’s degree in Philosophy from the University of Santo Tomas in 1984 and a bachelor of laws degree from the same university in 1988. She obtained a doctoral degree in Civil Law from Universidad Complutense de Madrid, Spain in 1997. In 2013, she acquired a bachelor’s degree in Canon Law from the University of Santo Tomas. She was admitted to the Philippine bar in 1989 and joined the firm in 1996.

Lerma, Benjamin Z.

Benjamin Z. Lerma, a partner, is the vice chair of the Intellectual Property department. His practice focuses on intellectual property, corporate law, and real estate.

 

Benjie handles various patent and trademark applications in the Intellectual Property Office of the Philippines for various multinational companies. He enforces intellectual property rights and manages intellectual property portfolios. He also provides advice regarding intellectual property laws that affect the products or services of a client.

 

Benjie advises domestic and foreign corporations on general corporate matters, particularly in identifying the proper corporate vehicle and ownership structure to set up and operate in the Philippines and drafting the necessary documents for the proper operation of the business. He also assists in major real estate transactions as well as the enforcement of Philippine environmental laws, rules, and regulations.

 

Benjie was involved in various mergers and acquisitions, representing either the acquiring entity or the target entity. He was responsible for assisting the client on formulating the project structure, drafting documentation, and negotiating with the other contracting party. He has participated as well in various loan transactions as counsel for the borrower, lender, financial adviser, or arranger. He has advised clients in major infrastructure and natural resource projects.

 

Benjie has been a faculty member of the Ateneo de Manila University School of Law since 2001. He was a consultant of the Asian Development Bank from 2001-2007.

 

Benjie received his bachelor’s degree in Economics and Legal Management from the De La Salle University in 1992 and his juris doctor degree from the Ateneo de Manila University in 1996. He was admitted to the Philippine bar in 1997 and joined the firm in the same year.

Largo, Joan S.

Joan is a partner who is based in Romulo’s Cebu office. She handles a wide range of legal work, from litigation to advising on corporate matters and education laws.  Her litigation experience includes the active handling of civil, criminal, administrative, medical malpractice, election, public interest, and appellate cases.  She has also advised clients engaged in ESL, BPOs, agri-industry business, real estate, and general corporate work.  

 

Joan is currently the dean of University of San Carlos School of Law and Governance where she also served as professor of Civil Procedure, Criminal Procedure, Appellate Law Practice, Trial Technique, Constitutional Law, and Torts and Damages.  Her work in the academe equips her with experience in school management and education laws.

 

Joan is a graduate of Bachelor of Arts Major in Political Science under full State scholarship and as Class Valedictorian and Magna Cum Laude of Batch 1995 from University of San Carlos, Asia’s oldest educational institution in the heart of Central Philippines. After college, she took up her law studies in the same university under full scholarship from R. H. Goipeng Foundation.  While a law student, she worked full time as legal researcher of Florido & Associates Law Offices.  She graduated Cum Laude and Valedictorian of her Law Class in 1999.

 

Joan authored a book titled Laws and Jurisprudence on Torts and Damages and co-authored a book on outcomes-based education with William Spady titled Beyond Outcomes Accreditation, both published by Rex Bookstore- Philippines.
